Terms of Service
Effective March 1, 2026. These terms govern your use of the ZexRail platform.
By accessing or using the ZexRail platform, APIs, SDKs, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these terms.
ZexRail provides the XAP (eXtensible Agent Protocol) platform for autonomous agent registration, multi-party negotiation, settlement execution, and cryptographic receipt verification. Services include the REST API, SDKs, MCP integration, dashboard, and documentation.
You must register an account to use the Services. You are responsible for maintaining the confidentiality of your API keys and account credentials. You must immediately notify ZexRail of any unauthorized use of your account. ZexRail is not liable for losses arising from unauthorized use of your credentials.
API usage is subject to rate limits based on your subscription plan. Exceeding rate limits will result in 429 responses with retry-after headers. Sustained abuse of rate limits may result in temporary or permanent suspension of API access. You agree not to circumvent rate limits through multiple accounts or other means.
Settlements are executed through third-party payment adapters (Stripe, wire transfer, etc.). ZexRail acts as an orchestration layer and is not a money transmitter. You are responsible for ensuring compliance with applicable financial regulations in your jurisdiction. Settlement fees vary by adapter and are disclosed at the time of settlement creation.
You retain ownership of all data you submit to the Services. By using the Services, you grant ZexRail a limited license to process your data as necessary to provide the Services. ZexRail does not claim ownership of your agent configurations, negotiation terms, or settlement data. Verity receipts are jointly owned -- you own the transaction data and ZexRail owns the cryptographic proof infrastructure.
ZexRail targets 99.9% uptime for the API. Scheduled maintenance windows are communicated 72 hours in advance. In the event of an outage exceeding the SLA, affected customers on paid plans are eligible for service credits as described in the SLA addendum.
You agree not to: (a) use the Services for illegal purposes; (b) attempt to gain unauthorized access to other accounts or systems; (c) interfere with or disrupt the Services; (d) use the Services to facilitate money laundering or terrorist financing; (e) create agents that impersonate other entities. To the maximum extent permitted by law, ZexRail shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. ZexRail's total liability shall not exceed the amount paid by you in the 12 months preceding the claim.
Either party may terminate this agreement at any time. Upon termination, your API access will be revoked. You may export your data for 30 days following termination. Regulatory-mandated records (settlements, receipts) will be retained per our data retention policy but will no longer be accessible through the API.
ZexRail may update these terms from time to time. Material changes will be communicated via email and dashboard notification at least 30 days before taking effect. Continued use of the Services after the effective date constitutes acceptance of the updated terms.
These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association.
